End User License Agreement (Draft)

1. License Grant

SavedMetrics grants you a limited, non-exclusive, non-transferable, revocable license to install and use the SavedMetrics desktop application for your internal business use.

2. Local Processing & Data Collection

SavedMetrics is a local-first, private-first application. All data processing — importing, analyzing, and querying your Amazon advertising and sales reports — happens entirely on your local hardware. SavedMetrics never collects, transmits, or has access to your business data. Your advertising metrics, sales figures, search terms, and ASIN performance data never leave your machine. You retain complete ownership, control, and responsibility for the security of this data.

During the beta period, you may choose to share anonymous product analytics — such as which features are used and how often — to help us understand what is working well and where to improve. This data contains no business metrics, no advertising figures, and no personally identifiable information. Anonymous analytics are disabled by default and only collected if you explicitly enable them in the application settings.

3. License Authentication

To verify your purchase and prevent unauthorized distribution, the software requires a periodic internet connection to validate your license key. During this activation and validation process, the software communicates strictly with our licensing servers to transmit your license key and basic validation data (such as an anonymized hardware identifier or IP address). This network request is used exclusively for authentication and entitlement verification, and is never used for behavioral tracking or data harvesting.

4. Third-Party Platforms

The software is designed to analyze data exported from or connected to third-party platforms, specifically Amazon Ads. You are solely responsible for ensuring that your use of SavedMetrics complies with Amazon's Terms of Service and any applicable data protection regulations regarding the handling of your advertising data.

SavedMetrics and its licensors retain all rights, title, and interest in and to the software, including all related intellectual property rights. This agreement does not convey any rights of ownership to you.

7. No Warranty

The software is provided "AS IS" without warranties of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. SavedMetrics is an analytical tool and does not guarantee any specific financial, profitability, or advertising performance outcomes as a result of using the software.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall SavedMetrics be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, wasted ad spend, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, this software.

9. Termination

This license is effective until terminated by you or SavedMetrics. Your rights under this license will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the software and permanently delete all copies in your possession.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without giving effect to any principles of conflicts of law.
